Part A — Agreement for Services
The undersigned:
1. Solius Media B.V., also trading as MediumGuru, a private company with limited liability (besloten vennootschap) incorporated under the laws of the Netherlands, having its statutory seat in Rotterdam and its registered office at Iwanhof 5, 3025 NW Rotterdam, the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 42151096, holding VAT (BTW) number NL869940375B01, duly represented by its managing director (algemeen directeur) S.J.M. (Styn) Kempen, who is independently authorised to represent the Company, hereinafter referred to as the "Company";
and
2. [COMPANY NAME], a [LEGAL FORM] incorporated under the laws of [COUNTRY], having its registered office at [ADDRESS], [POSTAL CODE] [CITY], registered with the Crossroads Bank for Enterprises (KBO/BCE) under enterprise number [ENTERPRISE NUMBER] and holding VAT number [BE VAT], duly represented by [REPRESENTATIVE NAME], born on [DATE OF BIRTH], who is the person that will personally perform the consultations and who has completed the platform's identity verification, hereinafter referred to as the "Reader" (also referred to in MediumGuru's consumer-facing and marketing materials as a "Guru"). Where this Agreement refers to the Reader performing consultations, it refers to that named person.
WHEREAS:
-
The Company operates an online platform that facilitates psychic, mediumistic, tarot and related spiritual consultations through the website mediumguru.com, its affiliated sites and its mobile applications. Consultations are offered by chat and, where enabled, by voice call and video call;
-
The Reader carries on their own independent business and offers psychic/mediumistic services to the public on their own account;
-
The Company acts as an intermediary marketplace: the Reader sets their own per-minute price, the Company facilitates the transaction and collects a fixed intermediary commission, and the consultation itself is the Reader's service to the end user;
-
The Company wishes to engage the Reader, and the Reader wishes to be engaged, on a non-exclusive, independent-contractor basis, with both parties expressly intending that this engagement does NOT constitute an employment contract (arbeidsovereenkomst / contrat de travail) within the meaning of the Act of 3 July 1978;
-
The parties enter into this Agreement on the terms set out below.
Clause 1 — The Assignment
1.1 The Company engages the Reader to provide psychic/mediumistic consultation services to end users via the Company's platform, affiliated websites and mobile applications, by chat and, where enabled, by voice and video call, exercising due professional care.
1.2 The Reader performs the services independently and at their own discretion as to method, drawing on their own professional skill and judgement. The Company does not direct the manner in which the Reader performs individual consultations.
1.3 The Reader determines their own availability, working hours and login times, and is free to accept or decline any consultation, and to choose which channels (chat, voice, video) they offer. No minimum or maximum hours are imposed and there are no mandated shifts, rosters or presence quotas. The platform does not rank, reward or badge Readers by hours online, availability or response speed, and does not use geolocation.
Clause 2 — Independent Status & Non-Exclusivity
2.1 The Reader is a company carrying on its own independent business. Nothing in this Agreement creates an employment relationship, agency, partnership or joint venture between the parties.
2.2 The Reader is expressly permitted to provide the same or similar services to other platforms, businesses and private clients, including competitors of the Company, both during and after the term of this Agreement, and to build and serve their own clientele outside the platform. The Company imposes no exclusivity and no non-compete obligation of any kind.
2.3 The Reader is responsible for their own registration with the KBO/BCE, their own affiliation to a social-insurance fund for the self-employed (supervised by the RSVZ/INASTI), their own VAT administration, their own corporate income tax and any social-security contributions, and for maintaining any professional insurance they consider appropriate.
2.4 The Reader bears their own commercial risk and sets their own price. The Reader may have a suitably qualified person perform the services in their place, provided that person has completed the platform's own identity and business-registration verification before performing any consultation, and provided the end user can see which Reader they are actually consulting. Substitution by a person who has not been verified by the platform is not permitted, as it would compromise client trust and safety. The Company's role in verification is limited to identity and registration; it does not assess the substitute's skills.
2.5 Active registration with the KBO/BCE and, where the Reader meets the relevant threshold, a valid VAT registration are conditions of access to the platform. The Reader maintains these throughout the engagement and notifies the Company if either lapses.
2.6 Nature of the working relationship (Belgium). The parties record their common intention that the Reader works independently and not under an employment contract, and have shaped this Agreement to the general criteria of Title XIII ("Nature of working relationships") of the Programme Act (I) of 27 December 2006: the parties' expressed will (this Clause); the Reader's freedom to organise their working time (1.3); the Reader's freedom to organise the work itself (1.2, 2.4); and the absence of any possibility of hierarchical control by the Company (1.2, 11.4). The parties further record, with regard to the statutory presumption for platform work introduced by the Act of 3 October 2022 (Article 337/3 of the Programme Act (I) of 27 December 2006), that: the Company requires no exclusivity (2.2); does not use geolocation (1.3); does not restrict the Reader's freedom to organise their work or working time (1.2, 1.3); does not set, cap or steer the Reader's price or income (4.1, 4.3); does not restrict the Reader's freedom to build their own clientele or to work for third parties (2.2); does not rank Readers by activity or availability (1.3); does not sanction the Reader for declining work or for availability (11.4, 11.5); and does not require the Reader to work under the Company's name or identity (Appendix 2, § 3). The Reader may at any time request a ruling on their status from the Administrative Commission for the Regulation of the Working Relationship; the Company will cooperate with such a request.
Clause 3 — Term & Commencement
3.1 This Agreement takes effect on [START DATE] and continues for an indefinite period until terminated in accordance with Clause 11.
Clause 4 — Pricing, Commission & Settlement (Post-Paid Mandate Model)
4.1 The Reader sets their own per-minute rate for consultations. The Company does not set, cap or steer the Reader's price. The price shown to the end user is the Reader's price (inclusive of VAT where the Reader is VAT-liable).
4.2 Settlement operates on a post-paid basis. The end user authorises payment by mandate before their first consultation, and the time actually used in each completed session — charged per second at the Reader's per-minute rate and rounded up to the next whole cent — is charged after that session through the Company's payment provider, Stripe (Stripe Connect). Cards, Apple Pay and Google Pay are accepted everywhere. Where an end user resident in the Netherlands or Belgium pays by iDEAL or Bancontact, the end user buys a fixed-price block of time for a single consultation in advance; the Reader is paid for the time actually delivered at the Reader's rate, and the Company bears any difference between the block price and the price of the time delivered. No prepaid credit balances are sold or held.
4.3 For each session, the Company retains a fixed intermediary commission of 31% and transfers the remaining 69% of the Reader's price to the Reader's connected Stripe account. The commission percentage is fixed per session and does not vary with hours logged, availability or presence; there are no presence-based or tiered pay rates.
4.3.1 Founding rate. The Reader accepted this Agreement on or before 22 October 2026 and therefore holds the founding commission rate of 31% for the full term of this Agreement, without any activity condition. The founding rate is personal to this Agreement; it does not revive on re-application after termination.
4.4 Commission is the Company's service fee to the Reader. The Company invoices the Reader for this commission plus VAT where applicable (see Clause 4.7). Stripe and other payment-processing costs are borne by the Company out of its commission and are not separately charged to the Reader. The commission invoice is issued through Stripe and is available to the Reader in their dashboard. No payout fee is charged to the Reader.
4.5 The Reader's share of each session is transferred to the Reader's connected Stripe account when the session is settled. The Company pays out the full accrued balance to the Reader's bank account every 14 days, free of charge. There is no minimum payout threshold, save that the Company defers a payout where the accrued balance is below an administrative floor of €5, to avoid disproportionate transaction fees, in which case the balance is carried over to the next cycle and remains the Reader's. Instant payouts are not offered.
4.6 Chargebacks, disputes and reversed payments. Where an end-user payment for a session is reversed or successfully disputed after the Reader has been paid for that session, the Company may recover the Reader's share of that session — and no more than that share — from future payouts. The Company itemises every such recovery per session, states the reason category, and reverses the recovery if the dispute is later resolved in the Company's favour. A reversal is not a finding against the Reader.
4.7 VAT on the commission. The commission is the consideration for a service supplied by the Company to the Reader. Where the Reader is established in Belgium and holds a VAT identification number, the commission is invoiced without VAT under the reverse-charge mechanism (Article 196 of the VAT Directive; Article 51, § 2, 1° of the Belgian VAT Code) and the Reader accounts for Belgian VAT in their own return. A Reader under the small-business exemption scheme (Article 56bis of the VAT Code) who nevertheless holds a BE VAT identification number also accounts for VAT on the commission under the reverse charge; a Reader without any VAT identification number must inform the Company, in which case the Company charges Dutch VAT at 21%. The treatment applied to this Reader is recorded in Appendix 1. The Reader's own VAT position on their consultations is the Reader's responsibility and is configured by the Reader on the platform.
4.8 Channel pricing. The Reader sets their own per-minute price separately for each channel they offer — chat, voice call and video call. The Company does not set, cap, steer or add to any of these prices. The commission under Clause 4.3 is unchanged and applies to whichever per-minute price the Reader has set for the channel used; the Reader receives that price less the commission. For example, if the Reader sets €2.00/min, then at the 31% commission the Reader keeps €1.38/min and the Company retains €0.62/min.
Clause 5 — Promotions & Referral Activity
5.1 The Company may run promotions for end users (for example a discount on a first consultation, or promotional credit for a referred visitor who becomes a paying customer). Promotions are funded by the Company from its own commission and do not reduce the Reader's per-minute price or the Reader's share of any session. A promotion that would reduce the Reader's earnings on a session — including a free or discounted introductory consultation offered in the Reader's name — applies only to a Reader who has opted in to that promotion in their account settings, and the Reader may opt out at any time with effect for new sessions. Whether to offer an unpaid introductory conversation is the Reader's own decision, made per Reader in their profile settings; the Company does not require it.
5.2 The current promotions — including eligibility, amounts and qualifying windows — are published in the Company's Promotions Schedule at mediumguru.com/promotions, which forms part of this Agreement by reference. The Company may add, change or end promotions on 30 days' prior notice without amending this Agreement. This flexibility applies only to promotions and does not extend to the Reader's commission rate under Clause 4, which is not changed unilaterally.
Clause 6 — Confidentiality
6.1 The Reader keeps confidential all non-public information of the Company and of end users obtained in connection with the services, both during the term and for a period of 5 years after termination.
6.2 This obligation does not apply to information that is or becomes public other than through the Reader's breach, or that the Reader is required to disclose by law.
Clause 7 — Intellectual Property
7.1 The Reader retains ownership of their own pre-existing materials, methods, texts and know-how. Platform software, branding and content created by the Company remain the Company's property.
7.2 The Reader grants the Company a non-exclusive licence to display the Reader's profile text, name and image on the platform, in the Company's mobile applications and in the Company's own marketing of the platform, for the purpose of promoting the Reader's services. The licence ends on termination.
Clause 8 — Data Protection & Tax Reporting
8.1 The parties comply with the General Data Protection Regulation (GDPR), the Dutch implementing act (UAVG) in respect of the Company and the Belgian Act of 30 July 2018 in respect of the Reader.
8.2 The Company is the controller of end-user account, payment and session data and of the Reader's account data. The allocation of roles for consultation content, and the processors the Company uses, are set out in the Data Processing Addendum (Appendix 3).
8.3 Sensitive payment and identity data (bank details, identity documents) are collected directly by Stripe through its hosted onboarding flow and are not stored in the Company's own systems. The Reader completes Stripe Connect onboarding (business registration, identity and bank account) as a condition of accepting consultations and receiving payouts.
8.4 The Reader reports any personal-data breach affecting end-user data to the Company within 48 hours at [email protected].
8.5 Tax reporting on platform income (DAC7). The Company is a reporting platform operator under Council Directive (EU) 2021/514 ("DAC7") as implemented in the Netherlands. For each calendar year in which the Reader receives consideration through the platform, the Company collects and verifies — requesting from the Reader what it does not yet hold before the first report — the Reader's identification data (name, primary address, date of birth or business registration number, tax identification number and the state issuing it, VAT identification number if any, and the identifier of the bank account to which payouts are made) and reports them, together with the total consideration paid to the Reader and the fees and commissions withheld, per quarter, and the number of sessions, to the Dutch tax authority (Belastingdienst) by 31 January of the following year. The Belastingdienst exchanges the report with the tax authority of the state in which the Reader is resident. The Company provides the Reader with a copy of the reported data for each year by the same date. Where the Reader does not provide or confirm the required identification data within 60 days of a request, and after two reminders, the Company is required by law to suspend payouts until the data are provided or to close the Reader's account.
8.6 Client notes. The platform allows the Reader to keep private notes about an end user from one consultation to the next. The Reader keeps such notes only for the purpose of their own consultations with that end user, limits them to what that purpose requires, and records nothing about health, beliefs or other sensitive matters beyond what the end user has raised themselves. The notes are visible only to the Reader; the Company accesses them only to answer a request from the end user under data-protection law, and the end user may obtain a copy. The notes are deleted when the Reader's account is closed and are anonymised when the end user's account is closed.
Clause 8A — Retention of Consultations
8A.1 Chat consultations: 30 days. The messages exchanged in a chat consultation, and any attachments, are stored by the Company so that they can be delivered and so that both participants can read the conversation back. Thirty days after the session ends the conversation is deleted automatically. For every session the Company also keeps session metadata: the identities of the two participants, channel, start and end time, duration, rate and amount. After every chat consultation the Company sends the full transcript to the end user by e-mail; that copy is the end user's. The end user gives explicit consent to this storage before their first chat (Consumer Terms 9.3); an end user who has not done so cannot start a chat.
8A.2 Calls: recorded. Voice and video consultations are recorded and automatically transcribed by the Company's transcription server (EU-hosted), so that both participants can listen back from the session page. The end user gives explicit consent to this before their first call (Consumer Terms 9.3); an end user who has not done so cannot start a call, and the Reader sees only the channels the end user has enabled. The pre-call screen reminds both participants that the call is recorded. The recording and the transcript are kept for 30 days after the session and deleted on the same terms as a chat conversation (8A.1, 8A.3). The Company gives the Reader 30 days' notice of any change to this Clause (Clause 13.2).
8A.3 Keeping a conversation longer. A conversation is kept beyond the 30 days where, before it is deleted: (a) the Reader or the end user asks the Company to keep it, from the session screen or the sessions list, without giving a reason; (b) either participant reports the session; (c) a support ticket is opened about it; (d) a payment dispute, chargeback or refund claim is raised about it; or (e) the Company receives a legal, regulatory or safeguarding request about it. Periods: (a) and (b) 180 days; (c) 90 days; (d) until the dispute is concluded plus 90 days; (e) as long as the request requires. The longest applicable period applies; no conversation is kept longer than 24 months on these grounds. Every request to keep a conversation, every report and every ticket is logged. Whether a session is being kept is visible to both participants on the session's page.
8A.4 Purposes and limits. A conversation is used only to deliver the consultation and — where it is kept — to: (a) review a report or safeguarding concern; (b) resolve a complaint, refund request or support ticket; and (c) respond to a payment dispute, chargeback or legal request. The Company does not use consultation content for quality assessment, marketing, profiling, training of any system, or any other purpose. The Company carries out no live monitoring and applies no automated analysis to consultation content (automatic transcription of a recorded call converts speech to text and nothing more). No session summaries are generated for or provided to the Reader or the end user.
8A.5 Company staff. The Company's support staff may open a conversation, during the session or while it is kept, for a purpose in 8A.4, and may send a message into a live chat marked as coming from the Company where something needs to be said to both participants. Every action a staff member takes on a conversation — redaction, translation, placing or lifting a hold — is logged against their name. Where a staff member does not read the language of a conversation, they may have it translated by the Company's translation provider (Appendix 3) for that purpose only.
8A.6 Reader duties and access. The Reader may read a conversation back on the platform for as long as it is kept, and must not record, screen-capture, copy, download, retain, share or re-use any consultation or any part of one outside the platform. Conversations are confidential end-user data under Clause 6 and Appendix 2. The Reader may ask the Company for their own contributions to a conversation while the Company still holds it under 8A.3; the Company will provide the Reader's own contributions and, where the record makes no sense without them, the end user's, having regard to the end user's data-protection rights, and may redact where necessary.
8A.7 Security and rights. The Company applies encryption in transit and at rest, personal logins for its staff and logging of every action taken on a conversation, and deletes conversations automatically on the schedule in this Clause. Each data subject's data-protection rights apply to a conversation for as long as it is kept, subject to the lawful limits where retention is required to establish, exercise or defend a legal claim. The Recording & Transcription Policy at mediumguru.com/opnames describes the model in full; by accepting this Agreement the Reader is on notice of it.
Clause 9 — Liability
9.1 The Reader is responsible for damage arising from their own acts or omissions in performing the services and indemnifies the Company against third-party claims to that extent.
9.2 The Company is not liable for any failure or disruption caused by force majeure, including outages of third-party infrastructure (including the payment provider).
9.3 Safeguarding of vulnerable end users. The Reader acknowledges that end users may disclose distressing matters, including thoughts of self-harm or suicide, harm to others, acute mental-health crisis, or serious medical concerns. In such cases the Reader must: (a) not present the consultation as medical, psychological, crisis or emergency advice; (b) encourage the end user, with care, to contact appropriate professional or emergency services; (c) not exploit the end user's vulnerability or distress for commercial gain or to prolong a session; and (d) report serious safety concerns to the Company's support desk in accordance with the Company's Safeguarding & Vulnerable-Users Policy at mediumguru.com/veiligheid-gurus. The Reader follows that Policy as part of the platform standards (Appendix 2). The services to signpost to an end user in distress are, in Belgium, Zelfmoordlijn 1813 (Dutch) or the Centre de prévention du suicide on 0800 32 123 (French), both free and 24/7, and 112. These numbers are listed in the Safeguarding & Vulnerable-Users Policy and shown to the Reader in the session interface.
9.4 Fair dealing with end users. The Reader, as a trader dealing with consumers, complies in their own right with the unfair-commercial-practices rules of the end user's country. In particular, the Reader promises no outcome, does not claim that a consultation can heal, protect, bring a person back or guarantee a gain, does not create urgency or fear to induce, prolong or repeat a session, does not present themselves under a protected or regulated professional title (doctor, psychologist, psychotherapist or equivalent) unless legally entitled and evidenced to the Company, and presents consultations as provided for entertainment and personal-reflection purposes (Appendix 2, § 2).
Clause 10 — Access to the Platform
10.1 The Company may suspend or deny access to the platform where reasonably necessary to protect the platform, end users or the Company's lawful interests. Where access is suspended other than for cause, the Company will use reasonable efforts to notify the Reader and resolve the matter promptly.
10.2 Guru Forum. The Company operates a forum for Readers in which Readers propose, discuss and vote on features and on the way the platform works for Readers, under the Guru Forum Charter at mediumguru.com/forum-charter. Participation is voluntary and unpaid and has no effect on the Reader's commission, visibility, ranking or standing under this Agreement.
Clause 11 — Termination
11.1 Either party may terminate this Agreement on 30 days' written notice, without cause.
11.2 Either party may terminate with immediate effect for material breach not remedied within a reasonable period, or in the event of the other party's insolvency.
11.3 On termination, the Company pays out the Reader's full accrued balance, including amounts previously carried over below the floor, in the first payout round after the termination date, less any itemised recovery under Clause 4.6.
11.4 Termination for repeated unprofessional conduct. Where the Reader acts in a manner that is unprofessional or in breach of the platform standards in Appendix 2 — including disrespectful or abusive conduct towards end users, breaches of the safeguarding duties in Clause 9.3, breaches of the fair-dealing duties in Clause 9.4, exploiting a vulnerable end user, giving advice outside the Reader's expertise contrary to Appendix 2, or misuse of consultation content or client notes — the Company may issue a written warning identifying the conduct and the standard concerned. Warnings and terminations under this Clause concern exclusively compliance with the law, consumer protection, the safety of end users and the data-retention rules; they never concern commercial performance, activity volume, availability, end-user ratings or reviews, or the way the Reader conducts an otherwise compliant consultation. Following two such written warnings within any rolling 12-month period, or where the conduct is repeated after a warning, the Company may terminate this Agreement on written notice. The Company may terminate with immediate effect, without prior warning, where the conduct is sufficiently serious (including conduct endangering an end user, conduct towards a person the Reader knows or suspects to be a minor, or unlawful conduct). Before any warning or termination decision other than an immediate one, the Reader is told what has been reported and may respond within 7 days; the Reader may ask for any warning or termination decision to be reviewed by a person other than the one who took it.
11.5 Inactivity. If the Reader has not been online on the platform for 30 consecutive days, the Company may send a reminder to the Reader's registered e-mail address. If the Reader has still not been online 30 days after that reminder, the Reader's profile is taken off the public listing ("dormant") until the Reader next logs in and sets their status, at which point it is listed again without any further step. Dormancy is not termination: this Agreement, the Reader's rate and edition stay in force, and the Company does not terminate for inactivity. This Clause exists so that end users do not see unattended profiles; how often and when the Reader works is otherwise the Reader's decision.
11.6 Data retention on termination. Following termination (however arising): the Reader's account and profile data are deleted or anonymised within 90 days; any conversation still kept follows the periods in Clause 8A; the Reader's client notes under Clause 8.6 are deleted; invoicing, payout, tax and DAC7 records are retained for 7 years as required by Dutch tax law; and limited data may be retained for the duration of the applicable limitation period where necessary to establish, exercise or defend a legal claim. Sensitive payment and identity data held by Stripe are handled under Stripe's own retention obligations.
Clause 12 — Governing Law & Jurisdiction
12.1 This Agreement is governed by the laws of the Netherlands.
12.2 This choice is without prejudice to the mandatory provisions of Belgian law that apply irrespective of the law chosen (overriding mandatory provisions within the meaning of Article 9 of Regulation (EC) No 593/2008, "Rome I"), including the rules on the nature of the working relationship referred to in Clause 2.6 and Belgian social-security law. Whether the relationship constitutes self-employment is assessed on the facts, not solely on the wording of this Agreement.
12.3 Disputes are submitted to the competent court in Rotterdam, the Netherlands, without prejudice to the rules of jurisdiction that cannot be derogated from under Regulation (EU) No 1215/2012 ("Brussels I bis").
Clause 13 — Final Provisions
13.1 This Agreement, with its Appendices and the documents it incorporates by reference (the Promotions Schedule, the Safeguarding & Vulnerable-Users Policy, the Recording & Transcription Policy and the Guru Forum Charter), constitutes the entire agreement between the parties and supersedes any prior arrangements.
13.2 Changes. The Company may update the platform standards in Appendix 2 and the incorporated documents on 30 days' prior notice, giving the Reader the opportunity to review and object. A new version of the core text of this Agreement requires the Reader's renewed acceptance; the version the Reader accepted remains in force until then. A change to the Reader's commission rate requires the Reader's express individual agreement and is never made by notice.
13.3 Language. This Agreement is made in English and made available, for the Reader's convenience, in Dutch and French. The English text prevails in the event of any inconsistency.
Acceptance
This Agreement is concluded electronically. By ticking the two acceptance boxes and clicking "Agree & become a Guru" during onboarding, the Reader confirms that they have read, understood and agree to be bound by this Agreement, its Appendices and the documents it incorporates, and that the registration details they have provided (including their business/tax registration and VAT details) are accurate. The Reader confirms the accuracy of their statements under Clause 2.6 and of their KBO/BCE and social-insurance-fund details. The Company records the date, time (UTC), core version, module version, edition, language and a hash of the accepted text, and sends the Reader a copy.

Appendix 2 — Platform Standards & Code of Conduct
These standards are mutually agreed platform quality expectations, not employer instructions. The Company may update them with 30 days' prior notice (Clause 13.2).
1. Profile
-
Minimum: a display name and at least one per-minute rate. Everything else on the profile is the Reader's choice.
-
Profile picture (recommended): a photo in which the Reader's face is clearly visible builds trust; icons or abstract images do not.
-
Profile text: where the Reader writes one, it accurately reflects the Reader's own experience, knowledge and skills, is kept up to date by the Reader, and uses no protected or regulated professional title (Clause 9.4).
-
Name: the Reader uses their real name or first name as their display name; where there are strong reasons against this, the parties agree a solution together.
2. Availability & Conduct
-
The Reader sets their status (online, away, offline) entirely at their own discretion, and keeps it accurate so that end users do not wait for someone who is not there.
-
The Reader communicates respectfully, uses courteous language, and approaches sensitive topics (religion, health, relationships) with care, on every channel (chat, voice, video).
-
All interactions are presented to end users as being for entertainment and personal reflection, in line with applicable consumer law. The Reader does not promise outcomes and does not use urgency or fear to induce, prolong or repeat a session.
-
If the Reader suspects an end user may be a minor, the Reader ends the interaction immediately and reports it to the Company's support desk.
-
If an end user discloses risk of self-harm, suicide, harm to others, or acute crisis, the Reader does not provide medical, psychological or crisis advice, gently signposts the professional or emergency services listed in Clause 9.3, does not exploit the person's distress, and reports serious concerns to the Company's support desk, following the Safeguarding & Vulnerable-Users Policy.
-
The Reader may ask for a conversation to be kept, or report a session, on the same terms as the end user, and does so where they believe a review may later be needed.
3. Privacy, Security & Restrictions
-
The Reader complies with applicable privacy legislation, keeps end-user data confidential, follows reasonable security measures (strong passwords, up-to-date devices), and reports any data breach within 48 hours to [email protected].
-
The Reader does not record, screen-capture, copy or retain any consultation outside the platform (see Clause 8A), and keeps client notes within Clause 8.6.
-
The Reader avoids giving advice outside their expertise, particularly medical, legal or financial advice.
-
The Reader does not act in the Company's name without authorisation. The Reader remains free to promote their own services and other platforms (Clause 2.2). For clients the Reader met through another platform, the agreement the Reader has with that platform applies; the Company does not ask the Reader to breach it.
-
The Reader informs the Company of any circumstance materially relevant to proper performance, via [email protected] or a support ticket.
Appendix 3 — Data Processing Addendum (DPA)
A3.1 Roles. The Company (Solius Media B.V.) is the controller of: end-user account, payment-mandate and session-metadata data; the Reader's account, profile, settlement, invoicing and DAC7 data; and the content of consultations for as long as it is kept (Clause 8A), including the Reader's client notes hosted on the platform (Clause 8.6). The Reader is an independent controller of any personal data the Reader holds about their own clients outside the platform. The Reader does not process end-user personal data on the Company's behalf: the Reader's access to end-user data is limited to what the platform shows the Reader (display name; the first name and date of birth an end user chooses to give on the intake screen; the conversation for as long as it is kept; session metadata; the Reader's own client notes) and the Reader uses it only to deliver the consultation. The Reader is therefore not a processor for the Company, and the Company is not a processor for the Reader.
A3.2 Consultation content. The content of a chat session, and the recording and transcript of a call, are stored for 30 days (Clauses 8A.1, 8A.2) and longer only on the grounds in 8A.3. For that content the Company is the controller; the Reader and the end user are the two data subjects. The Company's lawful bases are: performance of the contract with each of them for delivering the consultation, the 30-day readability of a chat conversation and playback of a call, the transcript e-mail to the end user, session metadata and settlement (Art. 6(1)(b) GDPR), with the end user's explicit consent to the storage of content under Art. 9(2)(a) obtained before first use of each channel (Consumer Terms 9.3); compliance with a legal obligation for DAC7 reporting (Art. 6(1)(c)); the Company's legitimate interest in resolving reports, safeguarding concerns, complaints, tickets and payment disputes for keeping a conversation beyond 30 days and for staff access (Art. 6(1)(f)), as assessed in the Company's Legitimate Interests Assessment; and, for special-category data that consultation content may contain, the establishment, exercise or defence of legal claims (Art. 9(2)(f)).
A3.3 Processors used by the Company. The Company uses the following processors, each under a written agreement meeting Art. 28 GDPR: Stripe Payments Europe Ltd (Ireland; elements in the United States) — payment mandates, charges, payouts, commission invoices, identity and business verification of Readers (Stripe is an independent controller for its own regulatory obligations); LiveKit (software run on the Company's own servers, EU) — real-time voice and video transport for sessions and their recording to EU storage; the Company's hosting provider [NAME, EU region] — application and database hosting, including conversations for as long as they are kept and the Reader's client notes; the Company's transcription server (run for the Company, EU-hosted) — speech to text for every recorded call; the Company's transactional e-mail provider [NAME, EU-hosted] — delivery of all e-mail, including the transcript e-mail to the end user and the Reader's acceptance, payout and service messages; Amazon Web Services (AWS Bedrock, EU region) — machine translation of a conversation by a Claude model at the request of Company staff under Clause 8A.5, inference and data remaining in the EU, no training; chaosdesk (EU) — support tickets (ticket text and session facts, never conversation content); Apple and Google (United States) — push notifications and sign-in where the Reader uses the apps; Cloudflare — network in front of the Company's servers. Where the Company invited the Reader by e-mail before the Reader had an account, it verified the Reader's e-mail address with NeverBounce (United States) for those invitation e-mails. For processors in the United States the Company relies on the EU–US Data Privacy Framework where the processor is certified and otherwise on the Commission's standard contractual clauses, with a transfer assessment on file. The current list is maintained at mediumguru.com/verwerkers; the Company gives 30 days' notice of any addition.
A3.4 Security. The Company applies the measures described in Clause 8A.7 and in its Privacy Policy: encryption in transit and at rest, personal staff logins, logging of every action taken on a conversation or account, automatic enforcement of every retention period, and overwriting of backup copies in the backup's own short cycle.
A3.5 Data subject rights and breaches. Each party handles requests from data subjects concerning data it controls. The Reader forwards to the Company, within 5 days, any request from an end user concerning platform data. The Reader reports breaches under Clause 8.4; the Company handles notification to the supervisory authority and to affected persons under Arts. 33–34 GDPR.
A3.6 Reader as controller of their own clients' data. Where the Reader brings their own clients to the platform (for example through their profile link), the client's platform account is created with the Company as controller; the Reader's own records of that client outside the platform remain the Reader's responsibility.
